    Step 1: Prepare Necessary Information

    • Need the company structure and details such as the company name, registered office address, and address for service. 

    Director and Shareholder Details:

    • Need information about the directors and shareholders, including full names, addresses, and contact details email id.  

    Step 2: Choose a Company Name

    Check Name Availability:

    Use the Companies Register to ensure your desired name is available.

    Reserve the Name:

    Once you find an available name, you can reserve it through the Companies Office website.

    Step 3: Register Your Company Online

    Create an Account:

    Sign up for an account on the New Zealand Companies Office website.

    Complete the Online Form:

    Fill in the online registration form with the reserved company name, addresses, and details of the directors and shareholders.

    Incorporation Fee:

    Pay the registration fee (as of 2024, it is NZD 105 including GST).

    Step 4: Receive a Certificate of Incorporation

    Confirmation:

    • Once the registration is approved, you will receive a Certificate of Incorporation.  

    NZBN:

    • Your company will automatically be assigned a New Zealand Business Number (NZBN).  

    Step 5: Register for Taxes

    Inland Revenue (IRD):

    Register your company for an IRD number.

    Goods and Services Tax (GST):

    If your company’s turnover is expected to exceed NZD 60,000 per year, you need to register for GST.

    If you plan to hire employees, register for PAYE (Pay As You Earn) and other relevant employer taxes.
